Terms of Service

1. The service

Qualion provides solar context, optional personal inputs and breathing sessions, I Ching casts, AI reading interfaces, and private storage. SYNC provides node-clock queries, signed event commitments, and human policy requests for personal, business, and authorized agent clients.

Features may be unavailable or subject to limits. Managed Lyra, payments, API billing, and durable SYNC activation are currently disabled. An attestation records this node’s observation of a commitment; it does not establish when a physical event occurred or guarantee an independent precision time source. Policy approval does not itself activate an event.

Demo exchange and provenance

USD-SBX and EUR-SBX are artificial, nonredeemable demo units. Quotes use a fixed demonstration rate and disclose a zero demo trading fee. These units do not represent fiat funds, securities, deposits, reserve backing or an external settlement entitlement. No real assets or customer funds are accepted by this exchange.

You authorize an exact quoted operation through explicit consent. If you choose to link its session to a verified account, original evidence is preserved in a signed account journal and subsequent session access requires that account. Account authentication does not establish legal identity or physical presence. Lyra’s Clerk of Record role concerns provenance integrity within human-approved scope; it does not confer trading, custody or legal authority.

2. Eligibility

You must be at least 18 to use the service or create an account. Provide accurate account information. If you use the service for an organization or authorize an agent, you must have authority to do so. We may close accounts belonging to people under 18.

3. Accounts, keys, and Vault

Keep account credentials, provider keys, and API keys secure. Use only the authority you have been granted, and revoke compromised keys promptly. You are responsible for activity you authorize and for reasonable steps to secure your account; notify us of suspected unauthorized access.

Vault records are encrypted in your browser with a password-derived key. We do not hold the decryption key. A password reset can restore account access but cannot decrypt records protected by a previous password. Keep your password and any exports secure.

Device-only custody and encrypted Vault custody are distinct. Browser storage can be cleared, and unkept prompt text and AI conversation may be lost when a tab closes. API keys are scoped, expire after 90 days, and may be revoked. Only the verified owning human may approve or reject a policy request.

4. Prices and payments

Casting, sessions, inputs, Vault access, and public samples have no Qualion charge. No recurring subscription or automatic refill is offered. The Pricing page states current rates and availability.

When enabled, a one-time $1 Sky entry credits $2 to the wallet. Managed readings cost $0.50 and reflection replies $0.25. Refills start at $2; credits do not expire. A new signed event receipt costs $0.01 when API billing is enabled; signed clock queries have no per-query charge. An identical event retry using the same Idempotency-Key does not incur another receipt charge. Your own AI provider bills its usage under its terms, separately from Qualion.

Prices are in US dollars. Applicable taxes and the total due are disclosed before checkout. Your bank may charge conversion or transaction fees. Stripe processes payments under its own terms; Qualion does not store your card number.

Refunds. Request a refund of unused purchased credit within 30 days through Contact. Completed requests are generally non-refundable, except where law requires a remedy. Promotional credit has no cash value and is excluded from cash refunds.

Consumer cancellation rights. Where applicable law gives you a withdrawal or cancellation right, including the usual 14-day period for eligible EEA and UK distance purchases, that right applies. Immediate supply limits that right only when the law’s requirements, including any express consent and acknowledgement, are satisfied. These Terms alone do not waive it. Contact us to exercise your rights.

We give reasonable advance notice of price changes. Previously purchased credit remains redeemable at the rate applicable when purchased. Mandatory refund and consumer rights take precedence over this section.

5. Wellbeing and breathing

A signal measurement describes the recorded signal; it is not a clinical assessment of health, fitness, or wellbeing. Do not use a cast or AI response to make medical decisions. Consult a qualified professional about health or treatment.

Breath retention and forceful exhalation may be unsuitable during pregnancy or with cardiovascular or respiratory conditions, uncontrolled hypertension, glaucoma, epilepsy, or recent surgery. Seek qualified advice if these or other concerns apply. Choose a comfortable practice and stop if it causes dizziness, discomfort, or distress. For an emergency, contact local emergency services or a crisis service directly.

6. Content and intellectual property

You retain rights in your prompts, questions, and reflections. You grant Tao, LLC only the rights needed to process and store content you submit to provide the requested service. Rights in AI output remain subject to applicable law and the selected provider’s terms.

Tao, LLC retains rights in Qualion’s software, designs, branding, and proprietary methods, subject to third-party rights and licenses. Do not copy, distribute, reverse engineer, or extract protected components without permission, except where applicable law or a license allows it.

7. Acceptable use

Authorized API automation and agent clients are permitted within their scopes and limits. Do not gain unauthorized access, bypass authentication or usage controls, disrupt the service, harvest others’ data, distribute malicious content, or use the service unlawfully. Do not resell access without written permission. Follow the selected AI provider’s terms.

8. AI responses

Lyra is Qualion’s contemplative companion. Readings and reflections are AI-generated and may be inaccurate, incomplete, or unsuitable. Evaluate them for yourself. They are not predictions or professional advice.

Lyra is not a counselor, clinician, or crisis responder. Responses are not routinely reviewed by a human, and the service cannot summon help. Do not rely on it in an urgent situation. Requesting an AI response sends its context to the chosen provider as explained in the Privacy Policy.

9. Privacy

The Privacy Policy explains processing, storage, disclosures, and your choices. Vault encryption protects Vault records; it does not prevent processing of cast inputs, API requests, support messages, or AI requests you choose to submit.

10. Warranties

To the extent permitted by law, the service is provided “as is” and “as available,” without express or implied warranties, including merchantability, fitness for a particular purpose, or non-infringement. We do not promise uninterrupted or error-free operation. Mandatory warranties, guarantees, and remedies are unaffected.

11. Liability

To the fullest extent permitted by law, Tao, LLC and its officers, employees, and agents are not liable for indirect, incidental, special, consequential, or punitive loss, including lost profits, data, or business interruption. Total liability arising from these Terms is limited to the greater of your payments to Tao, LLC in the preceding 12 months or $10.

These limits do not apply to fraud, fraudulent misrepresentation, gross negligence, willful misconduct, death or personal injury caused by negligence, or liability that law prohibits us from limiting. Mandatory consumer protections take precedence.

12. Third-party claims

To the extent permitted by law, you agree to indemnify Tao, LLC and its affiliates, officers, employees, and agents against third-party claims and reasonable associated costs arising from your unlawful use or breach of these Terms. This does not extend to losses caused by our own wrongful conduct or override mandatory consumer law.

13. Suspension and closure

We may suspend or close access for a breach or conduct that reasonably threatens users, the service, or others. We give notice and a reasonable chance to remedy a remediable breach unless immediate action is needed to prevent harm or comply with law.

You may request account closure through Contact. Export anything you wish to retain first. Deleted Vault records cannot be reconstructed by us. Some records may be retained for legal, security, or accounting obligations as described in the Privacy Policy.

If we close your account for reasons other than your breach, we refund unused purchased credit. On voluntary closure or closure for breach, unused credit is forfeited except under the refund policy or mandatory law. Request any available refund before closure.

14. Availability and changes

Features depend on hosting, network, AI, and payment providers. We may change, suspend, or discontinue features. For a material reduction in paid functionality, we give reasonable notice and refund unused purchased credit on request. Delays beyond our reasonable control are subject to applicable law and the liability provisions above.

15. Governing law and disputes

Wyoming law governs, excluding its conflict-of-law rules and subject to mandatory protections in your place of residence. Contact us first and allow 30 days for informal resolution, unless urgent relief or a legal deadline requires earlier action.

Unresolved disputes are subject to binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules for consumer disputes and Commercial Arbitration Rules for business disputes. Proceedings are in English, with Cheyenne, Wyoming as the seat, and may be remote or by written submission at your election. Fees and costs follow those rules and applicable law.

Either party may bring a qualifying individual small-claims case or seek court relief to protect intellectual property. Mandatory rights to local courts remain unaffected. EEA and UK consumers are not required to arbitrate and may use the competent courts of their residence where applicable law permits.

16. Revisions

We update the effective date when these Terms change and give reasonable advance notice of material changes. Continued use after changes take effect signifies acceptance to the extent permitted by law. If you do not accept, stop using the service and request closure; the paid-functionality remedies in section 14 remain available.

17. Operator and general provisions

Qualion and SYNC are operated by Tao, LLC, a limited liability company organized in Wyoming, United States. You can reach us through Contact.

If a provision is unenforceable, it is narrowed or severed while the rest remains effective. Failure to enforce a right is not a waiver. You may not transfer your account or these Terms without written consent. We may assign them in a merger, acquisition, or asset sale with notice and subject to law.

These Terms are the agreement for use of the service, together with any expressly incorporated terms. The Privacy Policy describes our processing practices. English controls any translation unless mandatory law requires otherwise. For questions, contact us.
